PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THIS WEBSITE OR ANY SERVICES. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICES.

1. Parties and Scope

These Terms of Service ("Terms") constitute a legally binding agreement between Shippiz Inc. ("Shippiz," "we," "us," or "our"), a company registered in the state of Delaware, and you, the individual or entity accessing or using the website located at www.shippiz.com (the "Website"), the Shippiz API, or any related software, features, tools, or platforms (collectively, the "Services").

These Terms apply to all users of the Services, including business customers, private clients, and API customers, regardless of whether access is through the Website, the Shippiz API, telephone, email, or any other channel, including orders placed by telephone, email, or through direct communication with a Shippiz representative. Use of the Services through any such channel constitutes acceptance of these Terms.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the requisite legal authority to bind that entity, and references to "you" shall include that entity.

WE RESERVE THE RIGHT TO MODIFY THESE TERMS AT ANY TIME. Modifications become effective immediately upon posting unless a longer period is required by applicable law. To the extent any material changes are made to the Terms, we will provide notice that the Terms have been revised or updated via email, by posting on the Website with an updated "Last Updated" date, or by other reasonable means. Your continued use of the Services after modifications are posted constitutes your acceptance of the revised Terms. If you do not agree, you must immediately cease using the Services.

2. Definitions

  • "Account" means any user account you create or maintain on the Website to access features of the Services.

  • "API" means the application programming interface made available by Shippiz to certain customers for programmatic access to the Services.

  • "Carrier" means any third-party shipping company, courier, freight forwarder, or logistics provider whose services are offered, compared, or facilitated through the Services.

  • "Carrier Charges" means all costs imposed by a Carrier, including but not limited to base shipping fees, weight and dimensional adjustments, fuel surcharges, remote area fees, and other ancillary Carrier-imposed fees.

  • "Confidential Information" means any non-public information relating to either party's business, operations, technology, pricing, customer data, or other proprietary matters, whether or not marked as confidential.

  • "Customs Duties" means all import or export duties, taxes, fees, or other charges imposed by governmental authorities in connection with a shipment.

  • "Order" means any shipment booking, rate comparison request, label generation, or other service request placed by a User through the Services.

  • "Shipment" means any package, parcel, freight, or item you tender or cause to be tendered for pickup, transport, or delivery via a Carrier through the Services.

  • "User Materials" means any data, shipment details, addresses, content, feedback, or other information you upload, submit, or transmit through the Services.

3. Description of Services

Shippiz is a technology platform that enables Users to compare shipping rates, place shipment orders, generate labels, and track shipments across multiple Carriers. Shippiz is not a carrier, freight forwarder, motor carrier, or transportation provider and does not itself perform or execute any shipment. Shippiz acts solely as a technology intermediary between Users and Carriers.

The Services currently include, without limitation:

  • Real-time rate comparison for domestic and international air freight and ground shipments

  • Order placement and label generation with Carriers

  • Shipment tracking

  • API integrations for eligible customers

  • A customs cost estimation calculator (provided for informational purposes only; actual customs costs are determined solely by applicable customs authorities)

  • Customer service support

Shippiz reserves the right to add, modify, or discontinue any feature or aspect of the Services at any time without prior notice. While we strive for high availability, the Services are provided without a strict Service Level Agreement (SLA) guarantee. Shippiz is not liable for latency, outages, or downtime caused by network congestion, Carrier API failures, scheduled maintenance, or third-party infrastructure providers. All content and information provided on the Website, including customs estimates, rate quotes, and any other materials, is for informational purposes only and does not constitute legal, financial, customs, regulatory, or other professional advice. Users should consult qualified professionals for advice specific to their circumstances.

By using the Services and placing any Order, you acknowledge that Shippiz reserves the right, at any time and in its sole discretion, to add new Carriers to the platform, remove existing Carriers, modify the terms on which any Carrier's services are offered, or renegotiate the rates and conditions applicable to any Carrier relationship, without prior notice to Users. The availability of any particular Carrier on the platform does not constitute a guarantee of continued availability.

4. Third-Party Integrations and Marketplaces

The Services may integrate with third-party e-commerce platforms, marketplaces, and inventory management software (e.g., Shopify, Amazon, WooCommerce) ("Third-Party Platforms"). Shippiz does not control these Third-Party Platforms and is not responsible for any API outages, data transmission failures, inventory synchronization errors, or changes to the terms or infrastructure enacted by Third-Party Platforms. If a Third-Party Platform modifies its API in a way that disrupts your Shippiz integration, Shippiz bears no liability for resulting business interruption or lost sales. Your use of any Third-Party Platform is governed by that party's terms and is entirely at your own risk.

5. Account Registration and Eligibility

5.1 Eligibility. You must be at least eighteen (18) years of age, or the applicable age of legal majority in your jurisdiction, to use the Services. If you are a minor, your use of the Services is conditioned upon the consent of a parent or legal guardian, who shall be deemed to have approved any transaction you initiate.

5.2 Account Registration. While registration is not required for basic features such as rate comparison, creating an Account allows you to access personalized Services and manage your Orders. To register, you must provide accurate, complete, and current information, including your name, a valid email address, and a contact telephone number. You agree to maintain and promptly update your account information.

5.3 Business Users. If you register on behalf of a company or other legal entity, you represent and warrant that you have authority to legally bind that entity to these Terms.

5.4 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Shippiz immediately of any unauthorized use of your account. Shippiz is not liable for any loss or damage resulting from your failure to maintain account security. Any Order, instruction, or action submitted through the Services using your account credentials or identifying information will be deemed to have been performed by you, regardless of whether you personally initiated it, unless you have previously notified Shippiz of unauthorized access to your account in accordance with this Section."

5.5 Accuracy of Information. You agree to provide only true, accurate, and complete information in connection with your account and any Order. The use of false, inaccurate, or another person's information is strictly prohibited and may result in immediate account termination and legal liability.

5.6 Right to Refuse. Shippiz reserves the right, in its sole discretion and without notice or liability, to refuse registration, suspend, or terminate any Account at any time for any reason.

6. Booking Process and Orders

6.1 Submitting an Order. To place an Order, you must provide accurate shipment details, including package weight, dimensions, volume, declared value, collection address, and delivery destination. Based on the information you provide, Shippiz will display rate quotes from available Carriers ("Quotes").

6.2 Non-Final Quotes. All Quotes displayed are estimates only and are not guaranteed final prices. Carriers independently verify the actual weight, dimensions, and volume of each shipment upon collection. If there are discrepancies between the data you provided and the Carrier's measurements, the final price will be adjusted accordingly, and you hereby authorize Shippiz to charge the applicable difference to your payment method on file without prior notice. A notification will be sent to you following any such charge. You acknowledge and agree that you will have no claim against Shippiz arising from such adjustments.

6.3 Carrier Terms. All Orders are subject to the applicable terms, conditions of carriage, tariffs, and policies of the selected Carrier in effect at the time of booking ("Carrier Terms"). By submitting an Order, you expressly acknowledge that you have had the opportunity to review the applicable Carrier Terms and agree to be bound by them solely with respect to the physical execution of the Shipment, including the Carrier's conditions of carriage, liability limits for loss or damage, prohibited items policies, and delivery procedures. Links to Carrier Terms are available on the Website, and you are solely responsible for reviewing them prior to placing an Order.

Notwithstanding the foregoing, in the event of any conflict or inconsistency between these Terms and any Carrier Terms, these Terms shall govern and control in all respects as between you and Shippiz. The incorporation of Carrier Terms by reference applies exclusively to your relationship with the applicable Carrier regarding the physical execution of the Shipment and does not: (a) expand Shippiz's obligations or liability beyond what is set forth in these Terms; (b) reduce, waive, or modify any limitation of liability, indemnification obligation, arbitration requirement, or other protective provision in favor of Shippiz contained in these Terms; (c) grant you any right of recourse against Shippiz for a Carrier's failure to comply with its own terms; or (d) create any agency, partnership, or joint venture relationship between Shippiz and any Carrier. Shippiz makes no representation or warranty regarding the terms, policies, or performance of any Carrier.

6.4 Destination Accuracy. Search results and Quotes are based on the destination information you provide. Shippiz does not warrant that all displayed destinations or service levels are available. You must verify the Carrier's current destination list and service policies prior to completing an Order.

6.5 Bill of Lading and Labels. Upon payment and confirmation of an Order, you will receive a bill of lading and shipping label along with information regarding expected collection and delivery times. You are solely responsible for printing, affixing, and ensuring the accuracy of all labels and shipping documentation. Collection and delivery times are estimates only; Shippiz makes no guarantee as to delivery times, which are solely within the Carrier's control.

6.6 Tracking. You may track your Shipment through the Website or through the applicable Carrier's own tracking platform.

6.7 User's Own Carrier Accounts. Eligible users may be permitted to connect their own separately negotiated carrier accounts to the Services to access their own negotiated rates and purchase labels ("User Carrier Account"). Where you use a User Carrier Account: (a) all fees, charges, credits, refunds, and adjustments are solely between you and the applicable Carrier; (b) if Shippiz is invoiced or assessed any charges by a Carrier in connection with your User Carrier Account, Shippiz reserves the right to charge such amounts to your payment method on file; (c) rates displayed through the Services for your User Carrier Account are estimates only and may not accurately reflect your negotiated rates; (d) Shippiz is not responsible for the accuracy of rates displayed for your User Carrier Account; and (e) Shippiz is not responsible for support issues relating to your User Carrier Account — contact your Carrier directly for such matters.

6.8 USPS Compliance Flow-Down. By using USPS shipping services through the Platform, you acknowledge and agree that: (a) you are a 'Merchant' as that term is defined in Shippiz's agreement with the United States Postal Service (“USPS”); (b) you are subject to all applicable USPS contract requirements, Postal Laws, Domestic Mail Manual (“DMM”) provisions, and other USPS regulations and policies; (c) Shippiz is required to immediately suspend your access to USPS Contract pricing upon receipt of written notice from USPS indicating that you have violated any applicable USPS requirement; and (d) Shippiz may be required to disclose your Merchant information — including legal name, address, and transaction data — to USPS immediately in cases of suspected fraud, short-paid postage, or violation of applicable laws, without prior notice to you.

6.9 Per-Shipment Acknowledgments. Certain categories of shipments may require your affirmative acknowledgment at the time of each Order, in addition to your general acceptance of these Terms. Specifically: (a) for all USPS shipments, you must respond to the HAZMAT screening question in Section 8A prior to label purchase; (b) for shipments with a declared value exceeding $1,000, you may be required to acknowledge your review of the applicable insurance and liability limitation provisions; and (c) for international shipments, you may be required to confirm your responsibility for customs compliance, export control obligations, and any applicable import restrictions at the destination country. Your submission of an Order constitutes your affirmative representation that all required acknowledgments have been completed accurately.

7. Pricing, Fees, and Payment

7.1 Displayed Prices. Prices displayed on the Website represent estimated shipping costs only, on a door-to-door basis. They do not include Customs Duties, taxes, brokerage fees, or any other charges not directly constituting shipping costs.

7.2 Authorized Payment Methods. Shippiz currently accepts credit cards from major card networks. Certain eligible users may also be approved to pay via ACH direct debit from a bank savings or checking account, subject to completion of a direct debit authorization form. You must provide accurate billing information — including the name, address, and phone number on file with your payment card issuer or bank — when enrolling or placing an Order. Inaccurate payment information may cause delays in establishing or continuing Service. Acceptable payment methods are subject to change at any time at Shippiz's sole discretion.

7.2(a) Payment Card Updates. Shippiz may receive updated payment card or bank account information (such as updated expiration dates or account numbers) from your financial institution. By accepting these Terms, you consent to Shippiz receiving and applying such updated information to your account. All payment information is handled in accordance with Shippiz's Privacy Policy.

7.2(b) Automatic Billing. By submitting an Order and providing your payment method, you expressly authorize Shippiz to automatically charge your payment method on file for all amounts described in this Section 7.2(b), including post-shipment adjustments, without additional prior approval for each individual charge. This authorization constitutes your affirmative informed consent to such charges consistent with applicable law, including the FTC's Negative Option Rule and ROSCA. Additionally, you authorize Shippiz to automatically charge your payment method on file for: (i) the estimated Order amount at time of booking; (ii) any subsequent Carrier Charges resulting from weight, volume, or dimension discrepancies or other Carrier-imposed adjustments; (iii) any applicable service fees or subscription fees associated with your Service plan; (iv) any preset balance replenishment amounts for carrier services accounts when your available balance falls below the threshold required to generate a shipping label. Shippiz will notify you following any adjustment charge; (v) (v) any USPS postage underpayment identified by the Postal Service as a result of discrepancies between the postage amount paid by you and the postage amount owed for your Shipment (“Short-Paid Postage”), which Shippiz is contractually obligated to remit to USPS and for which you are solely responsible to reimburse Shippiz.

7.2(c) Billing Entity. The billing entity for all or part of the Services may be Shippiz Inc. or a subsidiary, affiliate, or partner organization of Shippiz. You hereby consent to billing by any such entity, including changes to the billing entity from time to time.

7.2(d) Debit Notice Waiver (U.S. Users). If you elect to pay via a debit card or ACH direct debit, you hereby waive your right under 12 C.F.R. § 205.10(d) to receive ten (10) days' advance notice of the amount and date of varying electronic fund transfers, so long as each such transfer falls within the range of $0.01 and the sum of any amounts you have authorized for shipping charges, label fees, reset fees, or other non-recurring charges associated with your account.

7.2(e) Adjustment Notification. Shippiz will notify you by email following any post-shipment adjustment charge within a commercially reasonable time. Such notification does not constitute a condition of the charge's validity. Your obligation to pay adjustment charges is established at the time of Order submission pursuant to Section 7.2(b).

7.3 Payment Processing. Credit card and payment information is collected and maintained solely by the applicable payment processor or clearing company. Shippiz does not store, access, or manage your payment card data. Shippiz is not responsible for any data breach, unauthorized access, or security failure attributable to the payment processor.

7.4 API and Negotiated Rates. Customers accessing the Services via the Shippiz API under a separate commercial agreement may be subject to negotiated pricing, invoicing arrangements, and payment terms set forth in that agreement. In the event of a conflict between these Terms and an executed API or commercial agreement, the terms of the executed agreement will control with respect to pricing and payment. Shippiz will provide at least thirty (30) days' advance written notice of any increase to recurring fees applicable to API or subscription customers.

7.5 Additional User Costs. You are solely responsible for all costs not included in the shipping fee, including Customs Duties, import and export taxes, brokerage fees, documentation fees, inspection fees, storage charges, and any other charges imposed by governmental authorities or Carriers. Unless otherwise agreed in writing, such costs are payable directly between you and the Carrier or relevant authority. In the event that any customs authority, governmental body, or Carrier invoices or assesses against Shippiz any Customs Duties, import taxes, fees, penalties, or other charges arising from your Shipment, you agree to fully reimburse Shippiz for all such amounts within seven (7) days of Shippiz's demand. Shippiz reserves the right to charge such amounts directly to your payment method on file if not timely reimbursed. You acknowledge that customs duties, tariffs, and import taxes are subject to change by governmental authorities at any time, including after an Order is placed and prior to delivery. Shippiz bears no liability for changes in applicable duty or tariff rates occurring after Order confirmation, and no such change shall constitute a basis for Order cancellation or a claim against Shippiz.

7.6 Tax Liabilities. Shippiz acts as a software intermediary only. You maintain sole responsibility for the determination, collection, withholding, reporting, and remittance of any and all applicable federal, state, and local taxes arising from your underlying transactions, including sales and use tax, value-added tax (VAT), and goods and services tax (GST). You agree to fully indemnify and hold Shippiz harmless against any tax assessments, penalties, or interest levied against Shippiz by any taxing authority relating to your failure to properly calculate or remit taxes and duties on your shipments.

7.7 Price Changes. Shippiz reserves the right to change pricing for its Services at any time in its sole discretion. To the extent required by applicable law, notice will be provided in accordance with Section 1 of these Terms.

8. User Obligations and Export Compliance

8.1 Accurate Information. You represent and warrant that all information you provide in connection with an Order is true, accurate, and complete. You are solely responsible for ensuring all shipment data (weight, dimensions, declared value, contents description) is accurate prior to submission.

8.2 Packaging and Labeling. You are solely responsible for properly packing and sealing your Shipment to withstand transit in accordance with applicable Carrier requirements and packaging standards. Shippiz is not liable for damage resulting from inadequate or improper packaging.

8.3 Customs Documentation. You are solely responsible for obtaining and providing all required customs documentation, permits, licenses, and declarations for international Shipments, and for complying with all applicable import and export laws and regulations.

8.4 Export Controls and Sanctions. You represent and warrant that: (a) you are not subject to sanctions or otherwise designated on any list of prohibited or restricted parties, including lists maintained by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC); and (b) you will not utilize the Services to ship goods to embargoed countries or restricted entities. You bear sole responsibility for compliance with all applicable export control laws and regulations.

8.5 Prohibited Items. You shall not use the Services to transport any of the following (this list is non-exhaustive and subject to Carrier updates):

  • Hazardous materials, explosives, flammable substances, or dangerous goods in violation of the International Air Transport Association (IATA) Dangerous Goods Regulations or other applicable regulations

  • Lithium batteries unless properly declared and packaged per applicable Carrier rules

  • Illegal substances, narcotics, or controlled substances

  • Counterfeit goods or items violating intellectual property laws

  • Live animals, human remains, or perishables without proper packaging and authorization

  • Tobacco products, alcohol, firearms, or ammunition unless expressly approved by the Carrier in writing

  • Contraband or items prohibited by local, state, federal, or international law

  • Any items otherwise prohibited by the selected Carrier's policies

Violation of this section may result in immediate termination of your Account, forfeiture of payments, and pursuit of all available legal remedies.

8.6 Regulatory Compliance. You represent, warrant, and agree that your use of the Services will comply with all applicable laws and regulations in the jurisdictions in which you operate and to which your Shipments are sent, including without limitation the U.S. Federal Trade Commission Act, the Fair Credit Reporting Act, the Equal Credit Opportunity Act, the Children's Online Privacy Protection Act (COPPA), applicable data privacy laws (including GDPR, CCPA, DPDPA, and NJDPA), and U.S. export control and economic sanctions laws and regulations. You are solely responsible for determining whether the Services are suitable for your use in light of your obligations under applicable law. If you are subject to specific regulatory requirements and use the Services, Shippiz will not be liable if the Services do not meet those requirements. You will obtain and maintain all necessary permissions and valid consents required to lawfully transfer data to Shippiz and to enable such data to be lawfully collected, processed, and shared for the purposes of providing the Services.

8A. USPS HAZMAT Screening

Prior to purchasing any USPS shipping label through the Services, you will be required to confirm your response to the following question:

Does this parcel contain anything potentially hazardous? This category includes items such as batteries, dry ice, flammable liquids, aerosol sprays, air bags, ammunition, fireworks, gasoline, lighters, lithium batteries, matches, nail polish, nail polish remover, nitrogen-refrigerated liquid, paint, perfume, aerosols, camping stoves, radioactive materials, solvents, and more.

By confirming this disclosure and proceeding with label purchase, you represent that your shipment complies with all applicable USPS regulations, including USPS Publication 52 (Hazardous, Restricted, and Perishable Mail). A direct link to USPS Pub 52 and the USPS HAZMAT tutorial is available at www.usps.com/hazmat. You acknowledge that all mailable HAZMAT shipments must be labeled with the required HAZMAT STC and 2D barcode markings and shipped in separate packages in accordance with applicable Postal Laws.

9. Shipping Insurance and Risk of Loss

Optional shipment insurance is available for an additional fee at the time of booking and is underwritten by third-party insurers. Shippiz is not an insurer and assumes no responsibility for the approval, coverage, or payout of any insurance claim. If you do not purchase insurance, you bear all risk of loss, damage, or destruction of the Shipment, and Shippiz accepts no liability therefor. The Carrier's liability, if any, is governed exclusively by the Carrier's terms and applicable law. Shippiz may receive compensation from third-party insurance providers in connection with making insurance options available through the Services. Such compensation, if any, is not contingent upon whether you elect to purchase insurance.

10. Cancellations and Changes

10.1 Cancellation by User. You may cancel an Order up to three (3) hours before the scheduled pickup window begins (for example, if pickup is scheduled between 12:00 and 15:00, the cancellation deadline is 9:00 AM), provided that the package has not yet been collected by the Carrier. A cancellation fee of no less than $10 (USD), which may vary depending on the Order and Carrier, will be deducted from any refund.

10.2 No Cancellation After Collection. Once the package has been physically collected by the Carrier, the Order cannot be cancelled, and no refund will be issued.

10.3 Order Modifications. You may request modifications to an Order up to three (3) hours before the scheduled pickup window begins, subject to Carrier approval and provided the package has not been collected. Any modification may result in a price adjustment, and you will be charged or credited accordingly. No modifications are permitted after collection.

10.4 Customs Holds. A Shipment detained, held, or delayed by customs for any reason does not constitute a basis for Order cancellation or a claim for refund against Shippiz.

10.5 Shippiz's Right to Cancel. Shippiz reserves the right to cancel any Order and issue a full refund in the event of: (a) a force majeure event; (b) a communication, technology, or infrastructure failure outside Shippiz's control; or (c) material changes in applicable taxes, tariffs, fees, or levies affecting the transaction between the time of booking and the planned delivery date that make completion commercially impracticable, in which case any amount already charged to the User's payment method will be fully refunded.

10.6 Refunds. Refunds, when issued, will be processed to the original payment method within a commercially reasonable time.

11. Comprehensive API License and Acceptable Use

11.1 API License. Subject to your ongoing compliance with these Terms and any applicable API agreement, Shippiz grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Shippiz API solely for your internal business operations and to facilitate your own Shipments. This license does not permit you to sublicense, resell, white-label, or otherwise commercially exploit the API or API-derived rate data without a separate written enterprise agreement with Shippiz.

11.2 Operational Restrictions. You agree not to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the API; (b) syndicate, resell, or white-label the API without a separate enterprise agreement; (c) bypass or circumvent any rate limits, token authentication, or security protocols; (d) scrape data, including Carrier rate tables, for the purpose of building a competitive product or populating an unauthorized database; or (e) use the API in any manner inconsistent with Shippiz's documentation or these Terms.

11.3 Rate Limiting and Throttling. Shippiz reserves the right to enforce rate limits and usage caps on API requests to maintain platform stability. Excessive usage that threatens server infrastructure may result in immediate throttling or temporary suspension of your API token without prior notice.

11.4 Beta Features. Beta or preview API features are provided "as is" with no warranties of any kind and may be modified or discontinued at any time without notice.

11.5 Security. You must use commercially reasonable efforts to protect all customer data and personally identifiable information collected through your API integration from unauthorized access or use. You must promptly report any known or suspected security incident to Shippiz.

11.6 Ownership. Shippiz retains all intellectual property rights in the API, its documentation, and all outputs generated through the API. Your use of the API grants you no ownership rights Shippiz’s API, the context that is access through the API, or in any Shippiz intellectual property.

11.7 Suspension and Termination. Shippiz may suspend or terminate your API access at any time if it reasonably believes you are in violation of these Terms or any applicable API agreement.

Section 11A — Beta Services

11A.1 Beta License. From time to time, Shippiz may invite you to participate in a beta or early access program or to use pre-release features or functionality (collectively, "Beta Services"). Subject to your ongoing compliance with these Terms, Shippiz grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Beta Services solely for evaluation purposes, on an "as is" and "as available" basis. Participation in any Beta Services program is at Shippiz's sole invitation and discretion and does not create any entitlement to continued access.

11A.2 Known Risks; No Warranty. The Beta Services may contain bugs, errors, defects, and other problems inherent in pre-release software and features. YOU ASSUME ALL RISKS AND ALL COSTS ASSOCIATED WITH YOUR USE OF THE BETA SERVICES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SHIPPIZ SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE BETA SERVICES, INCLUDING BUT NOT LIMITED TO DATA LOSS, BUSINESS INTERRUPTION, OR SERVICE DISRUPTION. Shippiz is under no obligation to provide maintenance, technical support, or any other assistance in connection with the Beta Services.

11A.3 Feedback. As part of your participation in the Beta Services, you may be asked to provide comments, suggestions, ideas, reports, or other feedback regarding your use of the Beta Services ("Feedback"). You acknowledge and agree that Shippiz owns all Feedback you provide, and you hereby assign to Shippiz all right, title, and interest in and to such Feedback. To the extent such assignment is insufficient for any reason, you hereby grant Shippiz a perpetual, irrevocable, royalty-free, worldwide, sublicensable license to use, reproduce, modify, incorporate, and otherwise exploit such Feedback in any of Shippiz's products or Services, at any time, at Shippiz's sole discretion and to the extent permitted by applicable law. If Shippiz elects to publish any Feedback, it will either do so in a manner that does not identify you personally, or will seek your prior consent if identification is intended.

11A.4 Monitoring. Shippiz may monitor your use of the Beta Services and use the resulting data and information to improve the Beta Services or any of Shippiz's other products and Services. By using the Beta Services, you acknowledge and agree that Shippiz's collection, use, and disclosure of any personal data arising from your use of the Beta Services is governed by Shippiz's Privacy Policy.

11A.5 Confidentiality. You acknowledge and agree that the Beta Services, including their features, functionality, performance characteristics, and any related documentation or materials, constitute Confidential Information of Shippiz as defined in Section 16 of these Terms. You agree not to disclose, share, or discuss any aspect of the Beta Services with any person or entity other than other users who have been expressly authorized by Shippiz to access the same Beta Services.

11A.6 Modification and Termination. Shippiz reserves the right to modify, suspend, or terminate the Beta Services, or your access to or participation in the Beta Services, at any time, for any reason or no reason, with or without notice, and without any liability to you. Upon any such termination, your license to use the Beta Services immediately ceases and you must promptly discontinue all use thereof.

12. Shippiz's Role; Carrier Responsibility

Shippiz is not a carrier and is not responsible for the execution, quality, timeliness, or outcome of any Shipment. By placing an Order through Shippiz, you acknowledge and agree that:

  • The Carrier is solely responsible for the physical handling, transit, and delivery of Shipments, including delivery timelines;

  • Any claims arising from loss, damage, delay, or non-delivery of a Shipment must be directed to the applicable Carrier in accordance with the Carrier's terms and applicable law;

  • Shippiz's sole obligation is to facilitate the booking of shipment services through its technology platform; and

  • Delays or failures caused by customs, governmental authorities, weather, or other circumstances outside the Carrier's or Shippiz's control do not constitute a breach by Shippiz.

13. User Materials and License Grant

By submitting User Materials through the Services, you grant Shippiz a worldwide, royalty-free, non-exclusive, sublicensable license to access, use, host, process, store, and display such User Materials solely to: (a) provide the Services to you; (b) improve and develop the Services; and (c) comply with applicable legal obligations. You represent and warrant that you have all rights necessary to grant this license and that your User Materials do not violate any third-party rights or applicable law.

14. Prohibited Conduct

You agree to use the Services only for lawful purposes and in compliance with these Terms. You specifically agree that you will not:

  • Submit false, inaccurate, or misleading shipment information

  • Impersonate any person or entity or use another person's account credentials or payment information

  • Use the Services to facilitate any fraudulent, deceptive, or harmful activity

  • Attempt to gain unauthorized access to the Website, API, or Shippiz's computer systems or networks

  • Use any robot, spider, scraper, or other automated tool to access or monitor the Services beyond what is expressly permitted

  • Introduce viruses, malware, or other harmful code into the Services

  • Engage in conduct that unreasonably burdens or impairs the Services or the experience of other users

  • Misrepresent shipment contents, value, weight, or dimensions

  • Frame any portion of the Website, Services, or content contained therein within another website or application

  • Use data mining, robots, scrapers, crawlers, or similar automated data gathering or extraction tools on the Website or through the Services for any purpose not expressly permitted by Shippiz

  • Reproduce, duplicate, copy, sell, resell, or otherwise exploit for any commercial purpose any portion of the Website, Services, or materials made available by Shippiz, except as expressly permitted

  • Use the Website or Services for any purpose other than their intended use; any deviation from intended use may result in immediate suspension or termination of your account

  • Use the Website or Services in any manner that violates applicable laws or regulations, including applicable U.S. export and re-export control laws and regulations

  • Offer, advertise, or represent any rebate, discount, promotional incentive, or price reduction in connection with USPS shipping services that exceeds or deviates from the Merchant Rate Card pricing authorized by USPS, or make any representation regarding USPS pricing that is inconsistent with applicable postal laws and USPS brand guidelines

Unauthorized access to Shippiz's computer systems may constitute a criminal offense under applicable law. Shippiz reserves the right at all times to disclose any information about you or your use of the Services as necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, or remove any information or materials on the Website, in whole or in part, at Shippiz's sole discretion and without prior notice.

Notwithstanding the foregoing prohibitions on automated access and web-scraping, Shippiz's agreement with USPS requires that the foregoing restrictions shall not apply to any access of the Website or Services conducted by or on behalf of the USPS for the purpose of compliance monitoring, mystery shopping, or validation of Contract requirements. You acknowledge that USPS may access the Website or Services for these purposes.

15. Intellectual Property

All intellectual property rights in the Website, API, platform, software, design, graphics, trademarks, trade secrets, and content—including all updates and derivative works—are owned by Shippiz or licensed to Shippiz by third parties ("Shippiz IP"). Nothing in these Terms grants you any license or right to use Shippiz IP except as expressly permitted for the purpose of using the Services as intended.

You may not reproduce, copy, distribute, publicly display, modify, decompile, reverse engineer, or create derivative works based on any Shippiz IP without Shippiz's prior written consent. Any unauthorized use of Shippiz IP may result in immediate account termination and legal action.

Access to the Website is granted for personal and internal business use only. Direct commercial exploitation of the Website's content, design, or rate data — including resale, redistribution, or white-labeling — is strictly prohibited without a separate written enterprise agreement with Shippiz. For the avoidance of doubt, API customers operating under a separately executed commercial agreement are permitted to use the Services for commercial purposes to the extent expressly authorized in that agreement.

You may not use any USPS logos, trademarks, trade names, or other intellectual property in connection with your use of the Services without the prior written permission of USPS’s Rights & Permissions office. Any permitted use of USPS branding must comply with USPS brand and product guidelines as provided by the Postal Service from time to time.

16.1 Mutual Confidentiality. Each party agrees to hold the other's Confidential Information in strict confidence and to use it only as necessary to perform obligations under these Terms. Each party shall take reasonable precautions — no less rigorous than those it applies to its own confidential information — to prevent unauthorized disclosure.

16.2 Shippiz Confidential Information. Shippiz's Confidential Information includes, without limitation, any materials, communications, API documentation, rate data, pricing structures, technical specifications, and information transmitted through or in connection with the Services or the API that is marked confidential or that would reasonably be considered confidential under the circumstances. You agree not to disclose any Shippiz Confidential Information to any third party without Shippiz's prior written consent.

16.3 Exclusions. Confidential Information does not include information that: (a) you independently developed without reference to the disclosing party's Confidential Information; (b) was rightfully provided to you by a third party without any confidentiality obligation; (c) becomes publicly available through no fault of your own; or (d) was already known to you prior to disclosure by Shippiz.

16.4 Compelled Disclosure. You may disclose Shippiz's Confidential Information if compelled to do so by law, regulation, or court order, provided that you give Shippiz reasonable prior written notice of such compelled disclosure (to the extent legally permissible) and reasonably cooperate with Shippiz's efforts to seek a protective order or other appropriate relief.

16.5 API Content. The Shippiz API may provide access to third-party content, including but not limited to order information, shipment tracking data, carrier rate data, and other information provided by Shippiz's third-party carrier and platform partners ("Third-Party API Content"). You acknowledge that: (a) Third-Party API Content may change at any time as a result of Shippiz's actions or the actions, rules, and requirements of Shippiz's third-party partners; (b) Third-Party API Content may be subject to intellectual property rights held by third parties, and you may not use such content unless you are licensed to do so by the applicable rights holder or are otherwise permitted by law; and (c) your access to Third-Party API Content may be restricted, limited, or filtered in accordance with applicable law, regulation, carrier policy, or Shippiz's contractual obligations to its partners.

17. Privacy and Data Protection

17.1 Privacy Policy. Your use of the Services is also governed by Shippiz's Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to Shippiz's collection, use, and disclosure of your information as described in the Privacy Policy.

17.2 Data Roles. In providing the Services, Shippiz acts as a "Data Processor" (or "Service Provider" under applicable U.S. law) with respect to personally identifiable information ("PII") of your end-consumers (e.g., shipping recipient names and addresses) that you transmit through the Services. You act as the "Data Controller" (or "Business") with respect to such end-consumer PII.

17.3 User Obligations. You represent and warrant that you have obtained all necessary consumer consents and provided all required privacy notices under applicable data protection laws—including the California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR)—prior to transmitting any end-consumer PII to the Shippiz API or Website. Shippiz will process end-consumer PII solely for the purpose of transmitting data to Carriers to execute Shipments and as otherwise legally required.

17.4 Electronic Communications. You consent to receive all communications from Shippiz electronically, including via email or notices posted on the Website, and agree that such electronic notices satisfy any applicable legal requirement that communications be in writing.

17.5 USPS Data Disclosure. Notwithstanding any other provision of these Terms, Shippiz may be required to disclose your Merchant information, transaction data, and payment information to the USPS upon USPS request, within five (5) business days of such request, in accordance with Shippiz's agreement with USPS. Such disclosure may include your legal name, address, email, phone number, and complete transaction-level data for any USPS shipment. By using USPS shipping services through the Platform, you expressly consent to such disclosure.

18. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SHIPPIZ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, TIMELY, SECURE, OR FREE FROM VIRUSES OR HARMFUL COMPONENTS; AND ANY WARRANTY THAT INFORMATION DISPLAYED ON THE WEBSITE (INCLUDING PRICING, QUOTES, TRACKING INFORMATION, AND CUSTOMS ESTIMATES) WILL BE ACCURATE OR COMPLETE. ALL SHIPPING SERVICES ARE SUBJECT TO THE TERMS AND CONDITIONS OF THE APPLICABLE CARRIER. SHIPPIZ DOES NOT WARRANT THE PERFORMANCE OR RELIABILITY OF ANY CARRIER.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

(a) IN NO EVENT WILL SHIPPIZ, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, SHIPMENT DELAY OR LOSS, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) SHIPPIZ'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS OR IN CONNECTION WITH THE SERVICES SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL FEES ACTUALLY PAID BY YOU DIRECTLY TO SHIPPIZ (EXCLUDING CARRIER POSTAGE COSTS) IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) $500.00 USD.

(c) SHIPPIZ IS NOT LIABLE FOR ANY ACTS OR OMISSIONS OF CARRIERS, CUSTOMS AUTHORITIES, OR OTHER THIRD PARTIES, NOR FOR FORCE MAJEURE EVENTS, STRIKES, WEATHER, OR EVENTS BEYOND SHIPPIZ'S REASONABLE CONTROL.

(d) THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER SHIPPIZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(f) THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THIS SECTION ELIMINATES OR LIMITS: (I) LIABILITY FOR SHIPPIZ'S OWN FRAUD OR FRAUDULENT MISREPRESENTATION; (II) ANY RIGHT A NEW JERSEY CONSUMER POSSESSES UNDER THE NEW JERSEY CONSUMER FRAUD ACT (N.J.S.A. 56:8-1 ET SEQ.) THAT CANNOT BE CONTRACTUALLY WAIVED; OR (III) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED BY APPLICABLE LAW.

Some jurisdictions do not permit the exclusion or limitation of certain damages; in such jurisdictions, Shippiz's liability is limited to the fullest extent permitted by applicable law.

20. Indemnification

You agree to defend, indemnify, and hold harmless Shippiz and its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of or access to the Services;

  • Your breach of these Terms or any applicable Carrier terms;

  • Any claim by an end-consumer regarding delayed, lost, or damaged goods arising from a Shipment you booked;

  • Allegations that your Shipment contents violate intellectual property rights, import/export laws, sanctions, or customs regulations;

  • Unpaid taxes, tariffs, Customs Duties, or duties assessed on your Shipments;

  • Any false or inaccurate information you provided in connection with an Order; or

  • Your violation of any applicable law or third-party rights.

21. Account Termination and Suspension

Shippiz may suspend or terminate your Account and access to the Services at any time, with or without notice, for: (a) non-payment of any outstanding amounts; (b) breach of these Terms; (c) actual or suspected fraudulent, abusive, or illegal activity; or (d) any other reason at Shippiz's sole discretion. Termination does not release you from obligations to pay amounts owed prior to termination. The following provisions survive termination: Sections 13 (User Materials), 15 (Intellectual Property), 16 (Confidentiality), 18 (Disclaimer of Warranties), 19 (Limitation of Liability), 20 (Indemnification), and 22 (Dispute Resolution).

In the event of a breach, Shippiz reserves the right to disclose your account information as required in any legal proceeding, even absent a formal court order.

22. Dispute Resolution and Arbitration

22.1 Governing Law. These Terms and any disputes arising hereunder shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

22.2 Binding Arbitration. EXCEPT AS SET FORTH BELOW, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, SHALL BE DETERMINED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS THEN-CURRENT COMMERCIAL ARBITRATION RULES. THE SEAT OF ARBITRATION SHALL BE DELAWARE, USA. THE LANGUAGE OF THE ARBITRATION SHALL BE ENGLISH. BY AGREEING TO ARBITRATION, YOU AND SHIPPIZ ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY.

22.3 Class Action Waiver. YOU AND SHIPPIZ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. Notwithstanding the foregoing, to the extent applicable New Jersey law prohibits the waiver of class action rights for a particular consumer claim, this class action waiver shall not apply to such claim for New Jersey consumers."

22.4 Exceptions. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration, without waiving the right to arbitrate.

22.5 Jurisdiction for Non-Arbitrable Claims. For any dispute not subject to arbitration, or for enforcement of an arbitral award, each party irrevocably: (a) consents to the exclusive personal jurisdiction of the state and federal courts located in the State of Delaware; (b) waives any objection to the laying of venue in such courts; and (c) waives any claim that any such proceeding has been brought in an inconvenient forum.

23. Transfer of Rights

You may not assign, sublicense, or otherwise transfer any of your rights or obligations under these Terms without Shippiz's prior written consent. Shippiz may assign or transfer its rights and obligations—in whole or in part—to any affiliate, successor, or acquirer (including in connection with a merger, acquisition, or sale of substantially all assets) without your prior consent, provided that any assignee assumes all obligations hereunder. Your account information may be transferred to such successor entity, and you hereby consent to such transfer.

24. Service Modifications and Discontinuation

Shippiz may modify, suspend, or discontinue any aspect of the Services at any time without prior notice, including changes to features, pricing plans, or available Carriers. Where Shippiz elects to discontinue the Services entirely, it will provide reasonable advance notice on the Website. Upon termination of the Services, Shippiz will retain user data for a commercially reasonable period before deletion, without obligation to provide backup copies.

Shippiz may also, at its discretion, begin charging fees for features or services that were previously provided at no cost, subject to reasonable advance notice as set forth in Section 1.

25. Third-Party Links and Affiliate Disclosures

The Website may contain links to third-party websites or services, including Carrier websites. Such links are provided for convenience only. Shippiz does not endorse, control, or assume any responsibility for the content, accuracy, or practices of any third-party website. Your use of any third-party website or service is governed by that party's terms and is at your own risk. Certain links on the Website may be affiliate links; where applicable, Shippiz may receive a commission from purchases made through such links, at no additional cost to you.

26. General Provisions

26.1 Entire Agreement. These Terms, together with Shippiz's Privacy Policy and any separately executed API or commercial agreement, constitute the entire agreement between you and Shippiz with respect to the Services and supersede all prior understandings, agreements, and representations.

26.2 Severability. If any provision of these Terms is found to be unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

26.3 No Waiver. Shippiz's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

26.4 Force Majeure. Shippiz shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, governmental action, infrastructure failures, internet outages, or Carrier failures.

26.5 Computer Records. Shippiz's computer records of actions taken through the Services shall constitute prima facie evidence of those actions, unless you demonstrate otherwise by clear and convincing evidence.

26.6 Headings. Section headings are for convenience only and shall not affect the interpretation of these Terms.

26.7 Electronic Communications. You consent to receive all communications from Shippiz electronically, including via email or notices posted on the Website, and agree that such electronic notices satisfy any applicable legal requirement that communications be in writing.

26.8 Limitation on Claims. Any claim or cause of action arising out of or related to these Terms or the Services must be brought within one (1) year after such claim accrued, to the fullest extent permitted by applicable law. Claims not brought within this period are permanently barred. This provision does not apply to Shippiz's claims for unpaid fees or to claims by New Jersey consumers where a longer period is required by applicable New Jersey law.
